Professional Trade Supply Agreement

Trading as Feel Good Promotions Ltd This Professional Trade Supply Agreement (“Agreement”) governs all purchases, training access, professional account access, salon equipment supply and related services provided by Feel Good Promotions Ltd (“the Supplier”, “we”, “our”, “us”) to the purchasing business entity (“the Customer”, “you”, “your”).By purchasing from us, creating a professional account, attending training or accessing our professional purchasing portals, you confirm acceptance of these Terms.
1. Trade Supply Status
All products, systems, salon equipment, academy courses and professional services supplied by Feel Good Promotions Ltd are intended strictly for:trained professionals,salons,clinics,academies,distributors,and business users.By purchasing from us, you confirm that:you are acting in the course of business,products are not being purchased as a retail consumer,and goods are intended for professional use only.Consumer protection legislation intended for retail consumers may not apply to transactions conducted under this Agreement.
2. Professional Training Requirements
Certain products and treatment systems require approved training prior to purchase or use.The Customer confirms that:operators using supplied products are appropriately trained,manufacturer guidance will be followed,correct treatment protocols will be observed,and products will only be used for their intended professional purpose.The Supplier reserves the right to:request proof of qualifications,refuse supply,suspend trade accounts,revoke certification,or remove access to professional purchasing portals where training standards are not maintained.
3. Orders & Acceptance
All orders are subject to:stock availability,fraud checks,payment approval,and final acceptance by the Supplier.The Supplier reserves the right to:reject orders,restrict quantities,discontinue products,amend specifications,or refuse ongoing supply at its discretion.Orders cannot be cancelled once processing or dispatch has commenced.
4. Pricing & Payment
All prices are shown exclusive of VAT unless otherwise stated.Payment terms are strictly as agreed in writing.Failure to make payment may result in:account suspension,withdrawal of trade pricing,cancellation of pending orders,or legal recovery action.The Supplier reserves title to all goods until payment has been received in full.
5. Delivery & Risk
Delivery dates are estimates only and are not guaranteed.Risk in goods passes to the Customer upon delivery.The Customer must inspect deliveries immediately upon receipt.Any:shortages,transit damage,incorrect goods,or visible defectsmust be reported in writing within 48 hours of delivery.Claims submitted outside this timeframe may be rejected.
6. Returns Policy
Goods are not supplied on a sale-or-return basis.Due to the hygienic and professional-use nature of products supplied, returns are accepted only where:goods are faulty,damaged during transit,or supplied incorrectly.No returns will be accepted without prior written authorisation.Approved returns must:remain unopened,unused,in original packaging,and suitable for resale.The Supplier reserves the right to:reject returns,apply restocking charges,deduct handling costs,or refuse refunds where goods are not returned in acceptable condition.Original shipping charges are non-refundable.
7. Product Performance & Professional Responsibility
Professional beauty treatments are dependent upon:operator technique,client suitability,aftercare compliance,environmental conditions,storage conditions,product freshness,and individual biological variation.The Supplier does not guarantee identical treatment results across all clients or operators.The Customer accepts full responsibility for:client consultations,contraindication checks,patch testing,treatment suitability,informed consent,and treatment outcomes.The Supplier accepts no liability for:treatment failure,poor retention,client dissatisfaction,allergic reactions,operator error,misuse,overprocessing,or improper application techniques.
8. Storage & Handling
The Customer is responsible for ensuring products are:stored correctly,protected from heat, sunlight and contamination,and used within recommended shelf-life periods.The Supplier accepts no liability for product degradation caused by improper handling or storage conditions.
9. Electrical Equipment Policy
Professional Use
Electrical devices and salon equipment supplied by the Supplier are intended strictly for professional salon use.Equipment must:be operated by trained personnel,be used in accordance with manufacturer guidance,and be connected only to suitable power supplies.Improper usage may void warranty protection.
Warranty Coverage
Unless otherwise stated, electrical equipment is supplied with a limited return-to-base warranty covering manufacturing defects only.The warranty excludes:accidental damage,misuse,neglect,cosmetic wear,impact damage,liquid damage,power surges,voltage incompatibility,unauthorised repairs,unauthorised modifications,overuse,or improper maintenance.Consumable parts including:cables,batteries,pads,filters,bulbs,removable accessories,and adhesive componentsmay be excluded from warranty coverage.
Inspection & Repairs
Returned electrical equipment will undergo inspection prior to approval of any warranty claim.Where no manufacturing fault is identified, the Supplier reserves the right to:refuse warranty claims,charge inspection fees,charge repair fees,and charge return shipping costs.The Customer is responsible for securely packaging returned equipment.
Limitation of Business Loss
The Supplier shall not be liable for:treatment cancellations,business interruption,replacement hire costs,staff downtime,loss of bookings,loss of profit,or consequential business losses arising from equipment failure or downtime.
10. Online Training & Digital Content
All:online courses,downloadable materials,training videos,certifications,and digital resourcesare non-refundable once accessed or issued.Digital content remains the intellectual property of the Supplier and must not be:copied,reproduced,screen recorded,redistributed,shared,or resold.Certification may be suspended or revoked where:counterfeit products are used,unauthorised training occurs,brand standards are breached,or misuse is identified.
11. Intellectual Property
All branding, educational materials, protocols, treatment systems, imagery, videos and written materials remain the intellectual property of Feel Good Promotions Ltd or its licensors.No rights are granted for reproduction or commercial reuse without written permission.
12. Limitation of Liability
To the fullest extent permitted by law:the Supplier’s total liability shall not exceed the value of the goods supplied,and all indirect or consequential losses are excluded.This includes:loss of profit,loss of revenue,reputational damage,treatment claims,client compensation claims,and business interruption losses.Nothing within this Agreement excludes liability where exclusion is prohibited by law.
13. Account Suspension & Termination
The Supplier reserves the right to suspend or terminate trade accounts where:payment defaults occur,misuse is identified,training standards are not maintained,counterfeit products are used,or conduct is deemed damaging to the brand or business.Access to professional pricing, certifications and purchasing portals may be removed without notice.
14. Governing Law
This Agreement shall be governed by the laws of England and Wales.Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
